An Initiative By The Law Society In Support Of Social Enterprises And Non-Profit Organisations

Legalese is a publication of the Law Society of Singapore, and aims to provide bite-sized pieces of information to the general public on the various legal aspects of setting up and running a social enterprise or non-profit entity.

While there can be no substitute for obtaining face-to-face and bespoke legal advice where required, the Law Society, as part of its “access to justice” initiative, hopes that this toolkit will serve as a useful resource on basic legal issues, to anyone seeking to embark on a community project. Put another way, it’s not about knowing all the answers to all of the questions all of the time, but, rather, about knowing the right questions to ask and being aware of potential pitfalls. And that’s what Legalese aims to achieve – the empowerment of administrators and managers of community organisations, by equipping them with a broad understanding of the legal issues relevant to their initiatives. This publication covers a wide range of topics (for example, the setting up of a social enterprise or charity, franchising, taxation and winding-up, amongst others). Initially launched in December 2013, the first edition of Legalese focused solely on social enterprises. In this second edition of Legalese, the Law Society has expanded the scope of the toolkit to support not only social enterprises but also non-profit organisations.

The chapters in this publication have been contributed on a pro bono basis by lawyers with deep knowledge of the applicable areas of law, together with input from the relevant specialised agencies, and with assistance from the students of the National University of Singapore’s Faculty of Law.
